In short (not part of the Rules)
- Our name and logo only as supplied, never in your own names or paid-search bids; ™, never ® (the name is not registered and may change). You are "an authorized reseller", nothing more.
- Tell the truth: Seats are people signed in at once; label Beta; never sell a Coming Soon Feature (the AI Assistant is one in the current release); no tax claims; Windows only; Paddle is not part of your sales.
- Others' names in plain text only. No fake or bought reviews; disclose your connection. Market in your own name.
- Ask us before new logo uses, comparisons, press releases and new claims; fix material within 5 business days when asked. These Rules change on 30 days' notice; if you do not accept a change, you may end the Agreement before it applies.
LivingRoom Reseller Trademark and Advertising Rules Draft 2 of 2026-10-25 - not yet in effect
These Reseller Trademark and Advertising Rules ("Rules") are published by Point of the Mountain Software LLC, a Utah limited liability company ("Company", "we", "us", "our"), for its LivingRoom software ("Software"). They are Exhibit A to, and part of, the Reseller Agreement between the Company and each authorized reseller ("Agreement"; the reseller: "Reseller", "you"). "Product Name" means the name LivingRoom (one word, with the two capitals shown) and any new name given to the Software under section 2.3. "Company Marks" means the Product Name, the Company's name and any logo, icon or other brand material we supply for the Software. Other capitalised terms are defined in the Agreement or, failing that, the EULA. If these Rules and the body of the Agreement conflict, the Agreement applies.
1. Scope
1.1 These Rules bind you and everyone who markets for you (anyone you pay or give a free Key to promote the Software included); you are responsible for them and give them these Rules.
1.2 They cover everything, in any form, that names the Software, uses a Company Mark or offers Keys.
1.3 They add to the laws and third-party rules that apply (section 11); follow the stricter. Not legal advice.
1.4 Advertise only to businesses, for business use (Agreement 2.4).
1.5 Do not offer Keys on a third-party marketplace on which sellers other than you offer goods (for example Amazon, eBay or AppSumo) or through our own checkout (Agreement 11.3); your own online store is allowed, even if it is hosted on a commerce platform. Do not create or claim a listing for the Software on a directory, review site or app store; your own business may be listed there as an authorized reseller where allowed.
2. Our marks
2.1 Your license to the Product Name and our logo (Agreement 10.1) covers only marketing and reselling Keys, during the Agreement, as these Rules allow; these Rules govern the other Company Marks too. No other right passes; goodwill is ours (Agreement 10.5).
2.2 The Product Name is not registered at the date of these Rules: "™" (or "TM"), never "®" until we confirm registration in writing.
2.3 We may change the Product Name by e-mail notice (for example after a third party's claim); switch within 30 days or any longer period given, then use the old name only to explain the change, for up to 6 months, at your own cost. [to be confirmed]
2.4 Apply nowhere to register a name or mark containing a Company Mark or anything confusingly similar (Agreement 10.2); transfer any you hold to us on request, at our cost.
3. Using the Product Name and the logo
3.1 Spell it exactly as defined: no abbreviation, splitting or translation.
3.2 Use it only as our software's name, ideally followed by a plain word ("... inventory software"); never as a verb, plural or possessive or in a new name or logo.
3.3 "™" on its first or most prominent use in each item.
3.4 Only our logo files, unchanged, with clear space, never more prominent than your own name or logo. [not yet available]
3.5 You may use our descriptions and screenshots, shortened only without changing the meaning. Your own screenshots: a current, unchanged release, made-up sample data only, no Coming Soon Feature shown working. Replace outdated material within 30 days of our notice.
3.6 No Company Mark or anything confusingly similar in any of your names (business, product, service, domain, e-mail, social-media, app), icons, profile pictures, trademarks or logos; page paths on your own domain and the text of your posts and pages are fine.
3.7 No imitation of our Website or materials, and no Company Mark used falsely, disparagingly, unlawfully or offensively, or next to such content.
4. How you describe yourself
4.1 Wherever you offer Keys, show your business name and contact details clearly: buyers buy from you, in your own name (Agreement 2.2).
4.2 Describe your status this way (short form: "Authorized reseller of Product Name™"):
Your Business is an independent, authorized reseller of Product Name™ inventory software.
4.3 Never present yourself as more (for example as our agent, partner, "official" or "exclusive" reseller, "Product Name support" or a territory holder: none is reserved, Agreement 2.1), or suggest that we endorse, check or stand behind your business, products or services.
4.4 Your own services (for example set-up or training) are yours, not provided or guaranteed by the Company: say so. "For Product Name" is fine; a service name containing it is not.
4.5 Link to, never copy or change, the EULA, the Privacy Policy, the Beta, Coming Soon and AI Assistant Terms ("Beta and AI Terms") at https://livingroomlogistics.com and the Documentation where published; point each customer to them before the sale (Agreement 5.5).
5. Paid search and online ads
5.1 Do not bid on or target, anywhere and in any match type, the Product Name, the Company's name or any misspelling, variant or combination of them.
5.2 Take reasonable steps, such as negative keywords, to keep your ads off searches for those names.
5.3 Name the Software in an ad only as its authorized reseller and the named advertiser; never in the headline, display URL, advertiser name or sitelink title, or so the ad looks like ours.
5.4 Ads lead to a page on your own domain that is clearly yours (3.6, 3.7, 4.1).
5.5 Do not bid on other companies' trademarks in campaigns for the Software.
5.6 No spam, adware, cookie stuffing, look-alike domains, bought clicks or similar unfair traffic, and no coupon or deal pages for discounts we do not offer.
5.7 Exceptions need our written approval (section 12).
6. Accurate advertising
6.1 Truth. All you say must be true, not misleading as a whole and backed by evidence held beforehand; qualifications go near the claim, never in contradicting small print.
6.2 The Key: one Plan, normally one year from assignment (a reassigned Key keeps its expiry date), one PC (a second PC is refused while the first keeps working; a move goes through our support, EULA 4.6, Agreement 5.1), renewable up to expiry, then Read-Only Mode after the Grace Period (Agreement 6.1, 7.1, 7.3). The Company never deletes the Customer's data when a License ends (never "data is never deleted": automatic Backup retention deletes older Backups). Never "lifetime", "perpetual", "one-time purchase" or "never expires"; never say that the Company bills or renews the Customer (your terms and any automatic renewal are yours, under their laws, Agreement 7.2).
6.3 Seats are people signed in at once on all connected PCs and phones; User Accounts are unlimited. Never "users" alone, or "unlimited users" with a Seat limit.
6.4 Company Files: promise no more Company Files than the Plan allows, whether for clients, stores or separate businesses (EULA 2.3).
6.5 Prices are yours (Agreement 4.6): state price, period, inclusions and added taxes or fees; never present them as ours, compare them only with our current published list price (same Plan and period, named and dated), or disclose our wholesale prices (Agreement 12; your Customers' liability cap in EULA section 15 does not depend on them) [to be confirmed]. Our discounts, Refund Policy and Trial Keys come only from us: do not offer them as yours or through you; your refunds and guarantees are your own. No offer you will not honour, and no invented deadline, scarcity or reason for a cut.
6.6 Trials: only we issue free 30-day Trial Keys, on request and at our discretion; say how to ask us, never promise one.
6.7 Features: as the current release and our Documentation have them; no features, Updates, dates, service levels or support we have not promised in writing (Agreement 8.4).
6.8 Beta Features: labelled "Beta" next to their name (list: Beta and AI Terms A1).
6.9 Coming Soon Features (list: Beta and AI Terms B1) are switched off: never say or suggest that one is included, available, "integrated" or part of what you sell, or list one among features, prices or comparisons. Best not to mention them; otherwise label each "Coming soon - not included in what you buy; no release date", never as a reason to buy. We e-mail you each new version of those Terms. [to be confirmed]
6.10 The AI Assistant is a Coming Soon Feature in the current release: it is not available and is not part of what any Plan pays for (no "AI-powered" or "with AI" until we confirm in writing that it is available). When we host its model on our own download host it becomes a Beta Feature included in every Plan [to be confirmed], on the Customer's PC, that needs a capable PC and whose answers can be wrong and must be checked (Beta and AI Terms C3, C5). Never claim that it is accurate, gives advice, can change data or uses a well-known online AI service, or that an AI model's maker endorses the Software.
6.11 Connections today: Walmart through the Customer's own API keys and report files; Amazon, eBay, Etsy, Shopify only through imported report files (Beta; never "connects", "syncs" or "integrates"); QuickBooks Desktop through exported files (7.4); e-mail through the Customer's SMTP server; a reporting interface for tools such as Power BI.
6.12 No tax, accounting or legal claims: the figures are tools, not advice. Never claim that they are "tax-ready", "audit-proof", approved, compliant, error-free or guaranteed, or that the Software files taxes or replaces an accountant or bookkeeper; promise no savings, profits or other results without evidence that customers generally get them.
6.13 Data and security: say only what our Privacy Policy and Security Overview say. Never that no data reaches us, "access from anywhere" (other PCs and phones connect only on the Customer's network), a cloud or mobile app or cloud backup (Backups are saved on the Customer's PC; an Admin may add an off-site copy folder, such as a cloud-synced folder or a USB drive), "fully offline" (if the Software cannot reach our License Server, it keeps working for up to 30 days after the last successful License Check, unless the Key expires first), or "unhackable" and the like.
6.14 System requirements as our Documentation and Website publish them (at the date of these Rules 64-bit Windows 11 and an internet connection; Windows 10 22H2 may work, untested; no Mac, Linux, web or phone version). [to be confirmed]
6.15 Support: you give first-line support (Agreement 8.1); 6.7 applies to the Company's.
6.16 Paddle, our online reseller and Merchant of Record, is not a party to your sales (Agreement 4.3 covers only your purchases from it): do not use its name or logo when offering Keys, or suggest that Paddle, Paddle's Buyer Terms (https://www.paddle.com/legal/buyer-terms) or our Refund Policy cover your sales.
7. Other companies' names and marks
7.1 Name Walmart, Amazon, eBay, Etsy, Shopify, QuickBooks, Microsoft and others only in plain text, truthfully (6.11) and less prominently than our name and yours, without their logos or look-alikes.
7.2 Never suggest that they sponsor, endorse, approve, certify or partner with us or you (no "approved", "official", "partner", "app" or similar with their names); the Company has no such status at the date of these Rules and will tell you in writing if that changes.
7.3 Every page, document or video naming them carries this or a similar notice:
Walmart, Amazon, eBay, Etsy, Shopify, QuickBooks, Intuit and the other names of companies and products mentioned are trademarks of their owners. Product Name™ is independent software and is not affiliated with, sponsored by or endorsed by any of them.
7.4 QuickBooks (strict Intuit rules): compatibility only ("exports files for use with QuickBooks® Desktop software"), spelled "QuickBooks", "®" on first mention, unabbreviated, as a describing word, never in a name, domain or keyword, no Intuit logos or colours; add to the 7.3 notice, in these or similar words: "QuickBooks® and Intuit® are trademarks of Intuit Inc. Product Name is not made, approved or endorsed by Intuit." Never claim QuickBooks Online (6.9).
7.5 Walmart, Amazon: no logos or badges, no public announcement naming them without our written approval (we may need theirs), no Walmart Solution Provider or Amazon partner claims.
7.6 eBay, Etsy, Shopify: never the most prominent element or in a name (3.6); no "Shopify app", "Etsy app" or "eBay app".
7.7 Where these companies' own rules are stricter, follow them; tell us at once of any complaint from them.
8. Comparisons with other products
8.1 Compare like with like, truthfully and checkably, from current published information, dated and sourced; keep the evidence while in use and 12 months after.
8.2 Nothing false or misleading about others; section 7 applies to their names.
8.3 Show the Software's relevant limits (for example Windows only, Seats, Beta); Coming Soon Features never count.
8.4 Named-competitor comparisons need our approval first (12.2).
9. Reviews, testimonials and endorsements
9.1 Do not write, buy, sell, request, post or spread reviews or testimonials (of the Software or a competitor) that are not real customers' real experience (staff posing as customers, non-users, AI).
9.2 Nothing for positive reviews (or negative ones of competitors); an incentive for honest reviews must not depend on the rating and must be disclosed and allowed by the site.
9.3 Whenever you, your staff or family, or anyone you pay or give a free Key talks about the Software, disclose the connection clearly, next to the statement and in the same medium.
9.4 No pressure or payment to remove or withhold reviews, no favourable selection shown as complete, no site you control posing as independent.
9.5 Testimonials: written permission; only while the customer's honest, current view and the Software still works as described; no edits that change the meaning; removed on request; no implied typical results without evidence.
9.6 No bought or fake followers, likes, views or other popularity.
9.7 Section 1.1 covers the influencers, affiliates and agencies you hire: check what they publish.
9.8 Follow the FTC's Endorsement Guides (16 CFR Part 255) and reviews rule (16 CFR Part 465) where they apply, and similar laws. [to be confirmed]
10. E-mail, telephone and text marketing
10.1 Market only in your own name (sender name, address, domain); never from or as the Company, or under a sender name made only of a Company Mark.
10.2 Follow the US CAN-SPAM Act (it covers e-mail to businesses too; for example unsubscribes honoured within 10 business days) and every recipient country's e-mail laws; never pass on unsubscribed addresses; no bought or harvested lists.
10.3 The same applies to calls, texts and faxes: the Company authorizes none in its name.
10.4 Your calls and texts follow the laws that apply (which may include the TCPA, the Telemarketing Sales Rule, Do Not Call rules and state laws, also for owners' mobiles): no automated, pre-recorded or AI-voice calls or marketing texts without the consent the law requires; honour do-not-call requests; no unsolicited faxes. [to be confirmed]
10.5 Never market with data seen while supporting a Customer or received from us.
10.6 Keep records of consents and opt-outs; show them to us on request.
11. Advertising law
11.1 Your advertising must be lawful wherever seen (for example under the FTC Act and the Lanham Act); you indemnify us for claims from your marketing (Agreement 15.1).
11.2 Utah's Truth in Advertising Act (Utah Code 13-11a; the Company is in Utah) may apply, business advertising included. Among other things it treats as deceptive confusion about source, sponsorship, approval or certification, false feature or benefit claims, misleading price-cut and former-price claims, and false disparagement; any person, competitors included, may sue. [to be confirmed]
12. Approval, review and removal
12.1 No approval needed: the Product Name in plain text as allowed here, the statements in 4.2, 7.3 and 7.4, and our materials unchanged or shortened without changing the meaning.
12.2 Approval first for other uses of a Company Mark, named-competitor comparisons, announcements naming the Company or a section 7 company (such as press releases) and claims not in our Documentation or materials. Send them to support@livingroomlogistics.com; we aim to answer within 5 business days (no answer: write again); publish only after written approval, which covers only what was sent and is not a legal review. [to be confirmed]
12.3 On request, send us your current materials naming the Software within 10 business days; keep each ad and e-mail campaign 12 months after its last use. [to be confirmed]
12.4 When we ask by e-mail (Agreement 18.5) because we reasonably believe material breaks these Rules, the Agreement or the law, or a third party complained, change or remove it within 5 business days (if urgent, as fast as you reasonably can) and tell us. [to be confirmed]
12.5 Tell us promptly at support@livingroomlogistics.com of complaints or legal demands about your marketing and of misuse of a Company Mark you notice.
12.6 Breach: see Agreement 17.3 (termination at once for a wilful, repeated or uncorrected misuse of the Company Marks), 15.1 (indemnity), 16.3 (no liability limit for a wilful misuse) and 9.5 (your Customers' Keys stay valid).
13. Changes and the end of the Agreement
13.1 We may change these Rules on 30 days' e-mail notice (Agreement 10.5, 18.2); each version shows its number and effective date. Update your materials within those 30 days or, if you do not accept the change, terminate the Agreement by notice taking effect the day before it (Agreement 18.2; Agreement 17.4 then applies, and Paid Keys still unassigned after its 90 days are refunded through Paddle where Paddle still allows it).
13.2 Removal requests (12.4) are not changes and need no notice period.
13.3 When the Agreement ends, stop paid advertising at once and within 10 business days remove or change other material that offers Keys, uses a Company Mark or calls you an authorized reseller; factual mentions to existing Customers (for example invoices, support) and while you assign Paid Keys in the period Agreement 17.4(c) allows stay allowed. [to be confirmed]
